These Terms of Service ("Terms") govern your access to and use of Duho — a reasoning assistant with persistent memory across your tools, calendar, and conversations — including the Duho applications (iOS, macOS, web) and the services that run them ("Duho", "we", "us"). By creating an account or using Duho, you agree to these Terms. If you do not agree, do not use Duho.

1. The service

Duho helps you capture information and turn it into action — for example, reading a photo of an appointment and helping you place it on the right calendar — while carrying context across your tools and conversations. Duho is manual-first: actions that change your data, such as writing a calendar event, are presented to you for explicit confirmation before they happen. Features evolve over time and may be added, changed, or removed.

2. Eligibility & your account

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use Duho. You are responsible for the activity under your account and for keeping your credentials secure. Provide accurate information and notify us of any unauthorized use.

Duho works with calendar and other accounts you choose to connect (such as Google, Microsoft 365, Apple/iCloud, and CalDAV providers). When you connect an account:

You retain ownership of the content you submit to Duho — your photos, notes, files, messages, and the events in your connected calendars. You grant Duho a limited, non-exclusive license to process and store that content solely to operate and provide the service to you (including the assistant's persistent-memory features), as described in the Privacy Policy. We do not use your content for advertising, and we do not use it to train generalized or foundation AI models.

6. Third-party services

Duho integrates with third-party services (such as Google, Microsoft, and Apple). Your use of those services through Duho is also subject to their respective terms and policies. We are not responsible for third-party services, and their availability or changes may affect Duho's features.

Your use of Duho is also governed by our Privacy Policy, which explains what data we access, how we use and protect it, and the choices you have. Please review it.

8. Service availability & changes

We work to keep Duho available and reliable, but the service is provided on an "as available" basis and may be interrupted for maintenance, updates, or factors outside our control. We may modify, suspend, or discontinue features at any time.

9. Disclaimers

Duho is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any output, scheduling, or reminder will be accurate or complete. You are responsible for reviewing actions Duho proposes before confirming them.

10. Limitation of liability

To the maximum extent permitted by law, Duho and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of the service. To the extent liability cannot be excluded, our total liability for any claim relating to the service is limited to the greater of the amount you paid us for the service in the twelve months before the claim or one hundred U.S. dollars (USD 100).

11. Indemnification

You agree to indemnify and hold harmless Duho and its operators from any claims, losses, or expenses (including reasonable legal fees) arising from your misuse of the service or your violation of these Terms or applicable law.

12. Termination

You may stop using Duho and delete your account at any time. We may suspend or terminate your access if you violate these Terms or use the service in a way that creates risk or legal exposure. On termination, the rights you granted under these Terms end, except for provisions that by their nature should survive (such as ownership, disclaimers, and limitation of liability). Calendar events Duho already wrote remain in your calendar; you can delete them there.

13. Changes to these Terms

We may update these Terms as Duho evolves. Material changes will be reflected by the "Last updated" date above and, where appropriate, communicated in-app. Your continued use of Duho after changes take effect means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The courts located in Delaware will have jurisdiction over any dispute arising from these Terms or your use of Duho, except where applicable consumer-protection law gives you the right to bring a claim in your local courts.
